Awardit completes a directed new share issue of 692,434 shares

Awardit AB (publ) (”Awardit” or the ”Company”) has, as communicated in the Company’s press release earlier today, carried out a directed new share issue of 692,434 shares, corresponding to approximately SEK 192 million (the ”Directed New Share Issue”). The subscription price of the shares in the Directed New Share Issue is set to SEK 277 per share through an accelerated bookbuilding procedure. A large number of Swedish and international institutional investors, including Cicero Fonder, Consensus Asset Management, Filip Engelbert, Jonas Nordlander, Modelio Equity and Skandia, participated in the Directed New Share Issue which was heavily oversubscribed.
The board of directors of the Company has, as announced in the Company’s press release earlier today, pursuant to the authorization granted by the extraordinary general meeting held on 16 august 2021, resolved on a directed issue of 692,434 new shares. The subscription price in the Directed New Share Issue was SEK 277 and has been determined through an accelerated bookbuilding procedure carried out by the Company’s financial advisor Pareto Securities AB (“Pareto Securities”). It is therefore the board of directors’ assessment that the terms for the Directed New Share Issue and the subscription price were set in accordance with current market conditions. The subscription price in the Directed New Share Issue constitutes a discount of approximately 2.5 percent compared to the volume weighted average price on Nasdaq First North Growth Market on 2 December 2021. Through the Directed New Share Issue Awardit will receive approximately SEK 192 million before deduction of transaction costs.
A large number of Swedish and international institutional investors, including Cicero Fonder, Consensus Asset Management, Filip Engelbert, Jonas Nordlander, Modelio Equity and Skandia, participated in the Directed New Share Issue.
The Company intends to use the net proceeds from the Directed New Share Issue to strengthen the Company’s financial flexibility for further acquisitions and amortization of a promissory note of EUR 1.5 million in connection with closing of the acquisition of Prämie Direkt GmbH, as announced in the Company’s press release yesterday.
The reason for the deviation from the shareholders' preferential rights is to raise capital, in a time- and cost-effective manner, to enable the Company’s continued growth strategy. Furthermore, it is considered positive to further diversify the Company’s ownership base among both Swedish and international institutional and reputable investors. The board’s overall assessment is thus that the reasons for carrying out the Directed New Share Issue with deviation from the shareholders' preferential rights outweighs the principal rule that new share issues shall be carried out with preferential rights for existing shareholders and that a new share issue with deviation from the shareholders' preferential rights is most favorable for Awardit and its shareholders. Given that the subscription price in the Directed New Share Issue was determined through an accelerated book-building procedure, it is the board’s assessment that the subscription price in the Directed New Share Issue will be in accordance with market conditions.
Through the Directed New Share Issue, the number of outstanding shares and votes will increase by 692,434 from 7,577,744 to 8,270,178. The share capital will increase by SEK 69,243.40, from SEK 757,774.40 to SEK 827,017.80. The Directed New Share Issue entails a dilution of approximately 8.4 percent of the number of shares and votes in the Company based on the number of shares and votes following the Directed New Share Issue. These calculations do not include the consideration shares to be issued through an issue in kind in connection with the acquisition of Prämie Direkt GmbH, as communicated in the Company’s press release yesterday. Including the consideration shares in connection with the acquisition of Prämie Direkt GmBH increases the dilution with 0.9 percent.
In connection with the Directed New Share Issue, the Company has undertaken, with customary exceptions, not to issue additional shares for a period of 12 months after the announcement of the outcome of the Directed New Share Issue. Management and Board members have undertaken not to sell any shares in Awardit for a period of 90 calendar days after the announcement of the outcome of the Directed New Share Issue, with customary exceptions.
